Welcome to 2YA.club (the "Platform", "Club", "we", "us", or "our"), an international business club ecosystem operated by 2YA Club.

These Terms of Service ("Terms") apply when you visit the website at www.2ya.club (Website). Your access to and use of the Website, is subject to these T&Ss.

These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you", "User", "Member") and the Company, concerning your access to and use of the 2YA.club website, applications, and all associated services.

By accessing or using the Platform, you agree that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Platform and must discontinue use immediately.

1. ELIGIBILITY AND ACCOUNT REGISTRATION

A. Business Purpose

2YA.club is a strict Business-to-Business (B2B) ecosystem. By registering, you warrant that you are accessing the Platform for professional purposes (as a founder, startup, investor, corporate leader, freelancer, or aspiring entrepreneur).

B. Verification & "2YA Passport"

To protect the community from spam and fraudulent entities, account activation is subject to the 2YA Passport vetting process. You agree to provide accurate, current, and complete information during onboarding. We reserve the right to suspend or terminate accounts that provide false identity or business credentials.

C. Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

2. SUBSCRIPTIONS, FEES, AND MONETIZATION

A. Membership Tiers

The Platform offers limited standard access and paid Premium Memberships. Fees, billing cycles, and specific features available to each tier are detailed on our pricing page.

B. Platform Monetization Features

2YA.club allows certain Members (e.g., Coaches, Consultants, Group Admins) to monetize their Profile, Pages (BizHQ), and Groups (Lounges) through paid bookings (Office Hours), courses, or private group subscriptions.

Fees and Revenue Share: The Company processes payments through secure third-party gateways (e.g., Stripe). The Company charges a platform service fee of [Insert e.g., 5% to 10%] on all internal peer-to-peer transactions.
No Tax Liability: Members are solely responsible for calculating, reporting, and paying any applicable local taxes (including VAT) arising from revenue generated on the Platform.

C. Refund Policy

Unless explicitly stated otherwise, all platform subscription fees paid to 2YA.club are non-refundable. For peer-to-peer transactions (e.g., booking a coach or buying a course), refund disputes must be settled directly between the buyer and the seller. The Company is not an arbiter in user disputes.

3. ACCEPTABLE USE AND CODE OF CONDUCT

You agree to use the Platform strictly in compliance with all applicable local and international laws.

You explicitly agree NOT to:

Engage in unstructured cold-selling, automated scraping, or bulk-spamming of other members (This is not LinkedIn). All B2B promotions must be restricted to the B2B TradeRoom (Marketplace) and Member Perks (Offers).
Post defamatory, deceptive, or fraudulent business offers.
Use internal Audio & Video communication tools to harass, abuse, or record other members without their explicit consent.
Infringe upon the intellectual property rights of the Company or other users.

4. B2B MARKETPLACE & INTERNATIONAL TRADE DISCLAIMER

2YA.club provides a digital venue for international trade and wholesale networking.

Independent Parties: The Company does not manufacture, store, inspect, or ship any products or services listed on the B2B Marketplace. Any contractual relationship formed through the platform is strictly between the respective buyer and seller.
No Endorsement: While the 2YA Passport verifies the legal existence of a company or identity, it does not constitute an endorsement of their financial health, creditworthiness, or product quality. Members must perform their own due diligence before entering international shipping or trade ucontracts.

5. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Platform, including its source code, databases, software, UI/UX designs, audio, video, text, and graphics, are owned or licensed by 2YA Club and are protected by copyright and trademark laws. Users retain ownership of the content they upload (e.g., course materials, pitch decks), but grant the Platform a non-exclusive license to host and display it within the club.

6. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, the Company, its directors, or employees shall not be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profits, lost revenue, loss of data, or trade disruptions arising from your use of the platform.

The Platform is provided on an "AS-IS" and "AS-AVAILABLE" basis. We do not guarantee uninterrupted or error-free connection, especially concerning live audio and video streaming utilities.

7. TERMINATION

We reserve the right, without notice or liability, to deny access to and use of the Platform (including blocking IP addresses) to any person for breach of any representation, warranty, or covenant contained in these Terms.

8. GOVERNING LAW AND JURISDICTION

These Terms and your use of the Platform are governed by and construed in accordance with the laws of Luxembourg, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Luxembourg,
